In preparation for its acquisition of J.D. Edwards & Co., which is expected to be completed Thursday, PeopleSoft Inc. today revealed the deal's final terms.

For each share of J.D. Edwards common stock tendered, J.D. Edwards stockholders will receive $14.7384 in cash, or 0.8243 worth of PeopleSoft common stock, or a combination of stock and cash. J.D. Edwards stockholders can elect to receive either all cash or all stock for their J.D. Edwards shares, subject to proration. Based on these numbers, the resulting value of the total transaction will be $1.8 billion.

According to PeopleSoft, the $14.7384 per share consideration is calculated by adding $7.05 in cash and $7.6884, which represents the value of 0.43 of a PeopleSoft common share, based on the average closing price of PeopleSoft common stock for the five consecutive trading days ended July 15 of $17.88.
